You may not share, rent, sell, lend, or otherwise permit another person to use your User Account.

We may classify a User Account as dormant after twelve (12) consecutive months without a recorded login. We may close or restrict dormant accounts, subject to applicable law and the Official Sweeps Rules.

You may request closure of your User Account by contacting Customer Support. Account closure may affect access to unused Virtual Coins, promotions, and pending redemption requests as permitted by the Official Sweeps Rules and applicable law.

4.10 Suspension or Closure by Us

We may refuse registration, suspend, restrict, or close a User Account where reasonably necessary to protect Users, comply with law, complete verification, investigate fraud, enforce these Terms, address responsible gameplay concerns, respond to payment disputes, or protect the integrity of the Service.

You must not use the Service for money laundering, fraud, unauthorized payment transactions, sanctions evasion, identity theft, unlawful transfers of value, or any other illegal purpose.

5.2 Game Availability

We may add, remove, restrict, suspend, or modify Games at any time, including by jurisdiction, device, account status, or currency type.

Where there is a discrepancy between information displayed on a User’s device and our validated server records, our server records will control to the extent permitted by applicable law, except where those records are shown to be affected by a verified system error.

PURCHASES OF GOLD COINS

6.1 Gold Coins Only

Payments made through the Platform are for Gold Coins or other expressly identified non-redeemable entertainment content. Sweeps Coins cannot be purchased.

Where Sweeps Coins are offered in connection with a Gold Coins package, the Sweeps Coins are provided as a free promotional bonus and are governed by the Official Sweeps Rules.

6.2 Payment Verification

We or our Payment Administration Agents may perform payment verification, fraud screening, identity verification, and other security checks before or after a purchase.

6.3 Payment Administration Agents

We may use third-party Payment Administration Agents to process purchases, refunds, reversals, or Prize redemptions. Your use of a third-party payment method may also be subject to that provider’s terms and privacy practices.

6.4 Chargebacks and Payment Disputes

If a Gold Coins purchase is charged back, reversed, disputed, unauthorized, or otherwise not successfully settled, we may suspend the User Account, reverse benefits associated with the affected transaction, restrict Prize redemptions, and recover amounts lawfully owed to us while the matter is investigated.

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection or payment laws.

6.5 Stored Payment Credentials

Where supported and with any consent required by applicable law, we or a Payment Administration Agent may securely store payment credentials for future transactions.

6.6 Currency

Unless otherwise stated at checkout, purchases are denominated in U.S. dollars (USD).

6.7 Available Payment Methods

Payment methods may vary by jurisdiction, device, payment provider, account status, and transaction amount. We do not guarantee the continued availability of any specific Payment Mechanism.

6.8 Transaction Completion

Gold Coins are ordinarily credited after successful authorization and confirmation of the transaction. Delays may occur because of network issues, processor review, verification, fraud screening, system outages, or other circumstances beyond our reasonable control.

6.9 Purchase Confirmation

A purchase confirmation may be displayed on-screen, sent by email, provided by an app store, or otherwise recorded in your transaction history depending on the Payment Mechanism used.

6.10 Finality of Gold Coins Purchases

Except where required by applicable law or expressly approved by us, completed Gold Coins purchases are final, non-transferable, and non-refundable.

If you believe a purchase was billed incorrectly, contact [email protected] promptly so that we can investigate.

6.11 No Credit

We do not extend credit for Gold Coins purchases or participation in Games. You may only participate using available Virtual Coins already credited to your User Account.

6.12 Purchase Limits

We may establish minimum or maximum purchase amounts, frequency limits, responsible-play limits, risk-based limits, or other transaction restrictions.

PROMOTIONS AND SWEEPS COINS

7.1 Promotion Rules

Promotions, bonuses, contests, special offers, free-entry opportunities, and giveaways may be governed by additional rules disclosed at the time of the offer. By participating, you agree to the applicable promotional rules in addition to these Terms.

7.2 Changes or Cancellation

We may modify, suspend, withdraw, or cancel a promotion where reasonably necessary because of error, fraud, abuse, legal requirements, technical issues, or other circumstances affecting the fairness or integrity of the promotion.

7.3 Sweeps Coins Are Free Promotional Entries

Sweeps Coins cannot be purchased. They may be obtained only through the methods described in the Official Sweeps Rules, which may include free promotional grants, daily rewards, mail-in entry, or free Sweeps Coins offered in connection with selected Gold Coins packages.

7.4 Promotional Play Requirement

Sweeps Coins obtained under the Official Sweeps Rules are not automatically redeemable. Unless a different requirement is clearly disclosed when the Sweeps Coins are granted or in the applicable promotion terms, Sweeps Coins must be used at least once in Promotional Play before they may become eligible toward a Prize redemption.

A specific promotion may impose a higher playthrough requirement, provided that the requirement is disclosed in connection with that promotion and does not exceed twenty (20) times the applicable Sweeps Coins amount.

7.5 Expiration

Sweeps Coins are valid for ninety (90) days from the date of the User’s last login and may automatically expire thereafter, subject to the Official Sweeps Rules and applicable law.

7.6 Promotion Eligibility

We may exclude a User from a promotion, withhold promotional benefits, or cancel benefits obtained through duplicate accounts, fraud, collusion, location circumvention, payment abuse, technical exploitation, or other violation of these Terms or the applicable promotion rules.

PRIZE REDEMPTIONS

8.1 Eligibility

Only eligible Sweeps Coins won through Promotional Play and satisfying the Official Sweeps Rules may support a Prize redemption request.

Submission of a redemption request does not itself establish entitlement to a Prize. Redemption remains subject to eligibility, identity and location verification, fraud review, playthrough requirements, account status, and compliance with these Terms and the Official Sweeps Rules.

8.2 Minimum Redemption

Platform reserves the right to charge fees for processing the redemption of Prizes to you and to set a minimum redemption threshold of 100 SWEEPS COINS for Prize redemptions.

8.3 Redemption Method

Where technically available and appropriate, a cash Prize may be paid to the same Payment Mechanism previously used by you for a Gold Coins purchase.

If that method is unavailable, unsupported, or inappropriate for redemption, you may be required to nominate another verified financial account or payment method that is legally and beneficially owned by you and accepted by us.

Users who have not previously made a Gold Coins purchase may redeem through an eligible verified redemption method made available by the Platform.

8.4 Name Matching

We will not knowingly send a Prize to a payment account, bank account, or wallet that does not satisfy our identity and ownership verification requirements.

8.5 Redemption Limits

We may limit Prize redemptions to US$10,000 per User per day and may impose additional reasonable limits where necessary to comply with law, financial-institution requirements, risk controls, sanctions obligations, payment-provider rules, or fraud-prevention measures.

8.6 Processing Time

Prize redemptions may take up to 30 days to process in some circumstances. Identity verification, security review, payment-provider processing, or fraud checks may cause delays. Prize redemptions of US$500 or more may require additional review and may take longer than usual.

We do not guarantee a specific processing time where the delay results from verification, banking, compliance, or circumstances outside our reasonable control.

8.7 One Request Per Day

We may process no more than one Prize redemption request per User Account during any one-day period.

8.8 Financial Account Information

You are responsible for providing accurate redemption details. If you provide incorrect payment information and a payment is irreversibly completed to the destination you provided, we may be unable to recover or reissue the payment.

8.9 Alternative Redemption Account

If a nominated financial institution, account, wallet, or Payment Mechanism cannot accept the payment, you may be required to nominate another verified method. Processing may be delayed until a compliant method is provided.

8.10 Incorrect Credits or Payments

If Virtual Coins or a Prize are credited or paid to you because of a confirmed technical, human, accounting, or system error, we may correct the error by adjusting the User Account or seeking repayment of an amount mistakenly paid, to the extent permitted by law.

You must promptly notify Customer Support if you become aware of an obvious erroneous credit or payment.

VERIFICATION, KYC, AND LOCATION CHECKS

9.1 Verification Rights

We or a third-party provider acting on our behalf may conduct identity, age, address, location, payment, sanctions, fraud, source-of-funds, or other verification checks that we reasonably require or that are required by law, payment providers, or compliance obligations.

9.2 Information and Documents

Verification may require information or documents including government-issued photo identification, proof of address, tax information, Social Security Number where applicable, biometric facial verification, payment-method information, bank records, or source-of-funds documentation.

9.3 Pending Verification

We may restrict registration, purchases, gameplay, promotions, withdrawals, redemption requests, or other account functionality while verification is pending.

9.4 Failure to Complete Verification

If you do not provide requested verification information within a reasonable period, or if we cannot verify your identity, age, address, location, payment ownership, or eligibility, we may restrict or close the User Account and may decline or delay a Prize redemption where permitted by law and the Official Sweeps Rules.

9.5 Third-Party Providers

We may use third-party identity, fraud, device, payment, and geolocation providers to perform verification checks. You agree to provide permissions reasonably required to perform location checks when accessing Promotional Play or submitting a Prize redemption request.

10.1 Our Commitment

Magic Clover Casino is intended for social entertainment. We support responsible gameplay and may provide tools that allow Users to take a break, self-exclude, restrict purchases, or otherwise manage participation.

10.2 User Requests

You may contact Customer Support to request available responsible gameplay controls. Details are provided in our Responsible Social Gameplay Policy.

10.3 Circumvention

You must not intentionally circumvent a self-exclusion, time-out, account restriction, purchase limit, geolocation control, or other responsible gameplay measure.

11.1 Ownership

All rights, title, and interest in the Service and Content, including copyrights, trademarks, trade dress, software, databases, visual design, game interfaces, characters, artwork, audio, code, and other intellectual property, are owned by Oni Studio or its licensors.

11.2 No Ownership Transfer

Your use of the Service does not give you any ownership interest in the Platform, Games, Content, Virtual Coins, or User Account.

11.3 Trademarks

You may not use Magic Clover Casino, Oni Studio, or any associated trademark, logo, branding, or confusingly similar designation without prior written permission except as permitted by applicable law.

If the Service allows you to submit, upload, post, transmit, or display content, you are solely responsible for that content and must ensure it complies with applicable law and these Terms.

12.2 Prohibited Content

You may not submit content that is unlawful, fraudulent, defamatory, threatening, harassing, hateful, sexually exploitative, infringing, deceptive, malicious, or intended to facilitate illegal activity.

12.3 License to User Content

To the extent necessary to operate, display, moderate, promote, and improve the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, reproduce, display, distribute, adapt, and use User-generated content you voluntarily submit to the Platform, subject to applicable law and our Privacy Policy.

12.4 Moderation

We may remove or restrict User-generated content that violates these Terms, applicable law, third-party rights, or Platform policies.

THIRD-PARTY SERVICES AND CONTENT

13.1 Third-Party Providers

The Service may use or link to third-party payment providers, identity-verification services, game providers, analytics providers, social networks, advertisers, app stores, or other third-party services.

13.2 Separate Terms

Your use of a third-party service may be governed by that third party’s own terms and privacy policy. We are not responsible for third-party content, systems, policies, security, availability, or services except to the extent required by applicable law.

13.3 Links Do Not Imply Endorsement

A link or integration does not necessarily mean that Oni Studio endorses, controls, or guarantees the third-party service.

DISRUPTIONS, ERRORS, AND SYSTEM MALFUNCTIONS

14.1 Service Provided As Available

To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or continuously available operation.

14.2 Technical Issues

The Service may be affected by maintenance, outages, network failure, latency, device errors, third-party failures, software bugs, cybersecurity events, or circumstances beyond our reasonable control.

14.3 Game or System Errors

Where a confirmed technical malfunction, configuration error, data error, or software defect materially affects a Game result, Virtual Coin balance, purchase, promotion, or Prize calculation, we may investigate and correct the affected transaction or balance to restore the result that should reasonably have occurred absent the error.

14.4 Erroneous Awards

Virtual Coins or Prizes awarded solely because of a confirmed system or human error may be corrected, reversed, or voided to the extent permitted by law.

14.5 Suspension for Maintenance or Security

We may temporarily suspend all or part of the Service for maintenance, security, compliance, fraud prevention, technical issues, or other legitimate operational reasons.

LIMITATION OF LIABILITY AND INDEMNIFICATION

15.1 Limitation of Liability

To the maximum extent permitted by applicable law, Oni Studio and its affiliates, officers, directors, employees, agents, licensors, suppliers, game providers, payment providers, and contractors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of or inability to use the Service, including lost profits, lost opportunities, or loss of data.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or any other liability that applicable law requires to remain available.

15.2 Liability Cap

To the maximum extent permitted by applicable law, Oni Studio’s aggregate liability arising from or relating to the Service will not exceed the greater of: (a) the amount you paid to Oni Studio during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) any minimum amount that applicable law requires to remain available.

15.3 Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Oni Studio and its affiliates from third-party claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, or your violation of another person’s rights.

30 Days Limitations Period. You and platform agree that any claims, regardless of form, arising out of or related to the Site (including Services) or these Terms of Services or Privacy Policy must BE FILED within 30 DAYS of the action, omission, event or occurrence giving rise to the claim or suit, after which such claims will be time-barred and prohibited, without regard to any longer period of time which may be provided by any period of limitation or repose by law or statute.

CUSTOMER SUPPORT AND INFORMAL DISPUTE RESOLUTION

16.1 Customer Support

For questions, account issues, purchase concerns, Prize redemption questions, or complaints, contact:

[email protected]

16.2 Account Email

For account-security purposes, we may require you to communicate from or verify the email address associated with your User Account.

16.3 Informal Resolution First

Before initiating arbitration or litigation concerning a Dispute, you and Oni Studio agree to make a reasonable good-faith effort to resolve the matter informally.

16.4 Notice of Dispute

A party intending to pursue a formal Dispute should provide written notice describing:

  • the User Account email or username involved;
  • the claimant’s full name;
  • contact information;
  • a description of the issue and relevant facts;
  • relevant dates, transaction identifiers, or other supporting information; and
  • the remedy requested.

A User may submit a Notice of Dispute to [email protected] with the subject line “NOTICE OF DISPUTE.”

16.5 Informal Conference

Either party may request an individual telephone or video conference to discuss the Dispute. Unless a longer period is mutually agreed, the parties will use reasonable efforts to complete the informal process within forty-five (45) days after a sufficiently complete Notice of Dispute is received.

16.6 Tolling

To the extent permitted by law, applicable filing deadlines will be tolled while the parties are actively participating in the required informal dispute-resolution process.

BINDING ARBITRATION AND CLASS ACTION WAIVER

IMPORTANT ARBITRATION NOTICE

PLEASE READ THIS SECTION CAREFULLY. SUBJECT TO APPLICABLE LAW AND YOUR RIGHT TO OPT OUT BELOW, THIS SECTION REQUIRES MOST DISPUTES BETWEEN YOU AND Oni Studio TO BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION. YOU AND Oni Studio EACH WAIVE THE RIGHT TO HAVE SUCH DISPUTES DECIDED BY A JUDGE OR JURY AND WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION.

17.1 Federal Arbitration Act

This arbitration agreement concerns transactions involving interstate commerce and will be governed by the Federal Arbitration Act (“FAA”) to the extent applicable.

17.2 Covered Disputes

Except for the exclusions stated below, any dispute, claim, or controversy between you and Oni Studio arising out of or relating to the Service, User Account, purchases, promotions, Sweeps Coins, Prize redemptions, Privacy Policy, Sweeps Rules, these Terms, or the interpretation, validity, scope, or enforceability of this arbitration agreement will be resolved through individual binding arbitration.

17.3 Exceptions

Either party may:

  • bring an individual claim in small claims court if the claim qualifies and remains within that court’s jurisdiction;
  • seek appropriate relief in court concerning actual or threatened infringement or misuse of intellectual property rights; or
  • seek other court relief where arbitration cannot lawfully be required.

17.4 Informal Resolution Is Required First

Before commencing arbitration, the initiating party must complete the informal dispute-resolution procedure in Section 16 unless applicable law prohibits that requirement.

17.5 Arbitration Administrator

Unless the parties agree otherwise, arbitration will be administered by JAMS under the JAMS rules applicable to the dispute at the time arbitration is initiated, including applicable consumer arbitration standards.

Information concerning JAMS rules is available at https://www.jamsadr.com/adr-rules-procedures/.

If JAMS is unavailable or unwilling to administer the arbitration, the parties will attempt to agree on another recognized arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an administrator consistent with applicable law.

17.6 Location and Remote Proceedings

Unless applicable law requires otherwise, arbitration may be conducted remotely by telephone or video. If an in-person hearing is required, it will occur at a reasonably convenient location determined under the applicable JAMS rules, with Colorado as the contractual forum where legally permissible.

17.7 Individual Proceedings Only

To the fullest extent permitted by applicable law, arbitration will proceed only on an individual basis. Neither party may arbitrate claims as a class representative, class member, private attorney general, collective claimant, or representative of other persons.

17.8 Batch Administration of Similar Claims

If twenty (20) or more substantially similar arbitration demands are submitted against the same party within a sixty (60) day period by or with the assistance of the same counsel or coordinated counsel, either party may request that the administrator use reasonable batch or bellwether procedures permitted by applicable rules and law to improve efficiency while preserving each claimant’s individual rights.

17.9 Arbitrator Authority

The arbitrator may award any individual relief that would be available in court, subject to these Terms and applicable law. The arbitrator may not award relief for or against persons who are not parties to the individual arbitration except where required by applicable law.

17.10 Arbitration Decision

The arbitrator will issue a written decision or award as required by the applicable arbitration rules. Judgment on the award may be entered in any court with jurisdiction.

17.11 Confidentiality

To the extent permitted by law and applicable arbitration rules, arbitration filings and proceedings will be treated as confidential except where disclosure is reasonably necessary to enforce or challenge an award, comply with law, or protect a legal right.

17.12 Opt-Out Right

If you have not previously agreed to an arbitration provision with Oni Studio in connection with the Service, you may opt out of this arbitration agreement by sending an email within thirty (30) days after first accepting these Terms.

Send the email to [email protected] with the subject line:

ARBITRATION OPT-OUT

The email must include your full name and the email address associated with your User Account and must clearly state that you are opting out of the arbitration agreement in Section 17.

An opt-out applies only to Section 17. All other provisions of these Terms remain in effect.

17.13 Class and Collective Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND Oni Studio EACH AGREE THAT DISPUTES MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING.

17.14 Severability

If any portion of this Section 17 is found unenforceable, that portion will be severed or limited to the minimum extent necessary, and the remainder will continue in effect, except where applicable law requires a different result.

WAIVER OF JURY TRIAL

To the fullest extent permitted by applicable law, for any Dispute that is permitted to proceed in court rather than arbitration, you and Oni Studio each knowingly and voluntarily waive any right to a trial by jury.

MISCELLANEOUS

19.1 Entire Agreement

GOVERNING LAW AND JURISDICTION

20.1 Governing Law

Subject to Section 17 and the Federal Arbitration Act where applicable, these Terms and the Service will be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.

20.2 Court Proceedings

For any Dispute that is not subject to arbitration and is not properly brought in small claims court, the parties consent, to the extent permitted by applicable law, to the jurisdiction of the applicable state or federal courts located in Colorado.
